Culminaite Terms and Conditions

1. Who we are

Culminaite ("Culminaite", "we", "us") provides AI-enabled CV/resumé review and case-interview preparation services and digital materials. Our parent company is Maximum Potential Ventures, registered in Malaysia. Contact: culminaite@gmail.com.

By placing an order, creating an account, or using our services, you agree to these Terms and to our Privacy Policy and Refund Policy (collectively, the "Agreement").

2. Eligibility & accounts

• You must be 18+ years of age and able to enter a contract.
• You may use Culminaite with or without an account. Account features may differ from guest checkout.
• You're responsible for the security of your credentials and for all activity on your account.

3. What we provide (and what we don't)

• We deliver AI-assisted feedback, edits, and training materials. Outputs vary by input and model behaviour.
• We do not guarantee specific scores, interview outcomes, or job offers. Our content is for guidance and educational purposes only, not legal, immigration, financial, HR, or professional advice.
• We may update, suspend, or discontinue features to maintain security and performance.

4. Your content & permissions

You own the CVs, text, files, and other materials you upload ("User Content").

You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transform, and display User Content solely to provide the services, to ensure security/abuse prevention, to provide support, and as otherwise described in the Privacy Policy.

You confirm you have the rights to submit the content and that it doesn't infringe others' rights or contain unlawful material. Please avoid including unnecessary sensitive personal data (e.g., health, religion) in uploads.

5. Acceptable use

Don't misuse the services. Misuse of services include but are not limited to:

• unlawful, infringing, discriminatory, or deceptive content;
• attempts to reverse engineer, scrape, overload, or bypass security;
• uploading of malware or using Culminaite for phishing or spam;
• Violation of privacy or IP rights of other users.

We may suspend or terminate access for any violations.

6. Pricing, payments, taxes

Prices are shown at checkout and may change from time to time. You authorise us (and our payment processors) to charge your selected method for purchases, taxes, and fees.

For subscriptions (if offered in the future), charges recur until cancelled; timing is shown in your plan.

All Goods purchased are subject to a one-time payment. Payment can be made through various payment methods we have available, such as Visa, MasterCard or online payment methods.

Payments cards (credit cards or debit cards) are subject to validation checks and authorization by Your card issuer. If we do not receive the required authorization, we will not be liable for any delay or non-delivery of Your Order.

7. Refunds (all sales final)

All Culminaite products and services are digital and delivered immediately. All sales are final and non-refundable.

Exceptions (only where required by law): duplicate/accidental double charge, confirmed fraudulent/unauthorised transaction, or Culminaite non-delivery that we cannot remedy after you contact us.

EU/UK digital-content note: If you are in the EU/UK and choose immediate access, you request immediate performance and agree to lose the 14-day withdrawal right for digital content. We capture this acknowledgment at checkout.

8. Data protection & retention (summary)

Our Privacy Policy explains what we collect and why (PDPA-compliant; GDPR/UK where applicable).

Guest checkout (no account): your uploaded CV/files and our outputs are retained for 24 months after delivery for support, disputes/chargebacks, anti-fraud/security, and backup continuity, then deleted or anonymised.

Order/billing records may be kept 7 years for legal/tax; security logs typically 90–180 days; encrypted backups roll off on a 30–90-day cycle.

We may use trusted processors (hosting, analytics, payment, AI) under data-processing contracts. We don't sell personal data.

9. Third-party services & AI providers

We rely on reputable third-party vendors (e.g., payment processors, cloud, AI model providers). Their services are subject to their own terms and policies. We're not responsible for outages or actions beyond our reasonable control, but we select providers with appropriate protections.

10. Intellectual property

Unless otherwise noted, all materials, including images, illustrations, designs, icons, photographs, video clips, written and other materials that appear as part of this Site, in other words "Contents of the Site" are copyrights, trademarks, trade dress and/or other intellectual properties owned, controlled or licensed by Maximum Potential Ventures.

You may not copy, modify, resell, or create derivative works from our content except as allowed by this Agreement.

You may use AI-generated outputs for your personal, non-commercial career purposes; commercial use beyond that requires our written consent.

11. Feedback

If you give us ideas or suggestions, you grant Culminaite and Maximum Potential Ventures a free, perpetual licence to use them without obligation, while we respect your confidentiality and personal data rights.

12. Service changes; suspension; termination

We may modify the services or this Agreement for security, legal, or operational reasons. We may suspend or terminate access for cause (e.g., fraud, abuse, non-payment). You can stop using the service at any time; sections that by nature should survive (e.g., IP, payments, disclaimers, limits, law) do survive.

13. Disclaimers (things we can't promise)

THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY CONTAIN ERRORS OR VARIATIONS; YOU SHOULD REVIEW AND VERIFY BEFORE USING THEM.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS/OPPORTUNITY.
• OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS CAPPED AT THE AMOUNT YOU PAID FOR THE ORDER THAT GAVE RISE TO THE CLAIM.
• Nothing excludes liability that cannot be excluded by law.

15. Indemnity

You agree to defend, indemnify, and hold harmless Culminaite and Maximum Potential Ventures from claims arising out of (a) your use of the services, (b) your User Content, or (c) your breach of this Agreement or the law.

16. Governing law & disputes

This Agreement is governed by the laws of Malaysia. The courts of Kuala Lumpur have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our IP or services. Consumers' non-waivable rights under local laws remain unaffected.

17. Export & sanctions compliance

You represent you're not located in, under the control of, or a national/resident of any country or entity subject to sanctions or export restrictions, and you won't use the services in violation of such laws.

18. Notices & communication

We may contact you by email or through the service. You consent to receive electronic communications related to your purchases and the service.

19. Changes to these Terms

We may update these Terms to reflect changes to the services or law. Material changes will be posted on our site (and notified where required). Updates take effect when posted unless stated otherwise.

20. Miscellaneous

Severability: If any part is invalid, the rest remains in effect.

No waiver: Failure to enforce a provision isn't a waiver.

Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in a merger/sale.

Entire agreement: This Agreement supersedes prior terms about the services. If there's a conflict, these Terms control.
